Embryo Transfer Agreement



This agreement is by and between, Equine Embryos Inc. hereafter known as EEI,  and the mare owner or his/her agent known as Mare Owner.

1. To pay EEI a non-refundable, non-transferrable deposit of $1,000.00. This amount will cover the routine veterinary reproductive work to breed the donor mare, retrieve the embryo from the donor mare, freeze and / or transfer the embryo into a suitable recipient mare, and evaluation and monitoring of the recipient mare.

2. To pay EEI the sum of $1,800.00 once a 30 day pregnancy has been diagnosed into a recipient mare. If a second embryo is collected and transferred and a second pregnancy obtained the mare owner shall pay $2,800.00 for the additional pregnancy plus the lease of an additional recipient mare if applicable.

3. To provide either (a) a recipient (surrogate) mare to carry the embryo to term, or (b)  to lease a recipient mare from EEI for $2,500.00. The lease of the recipient mare is for the duration of gestation and lactation. The recipient mare must be returned to EEI in good health after weaning the foal.

4. The mare owner must pay all the above mentioned costs even in the event that his/her veterinarian does some or any of the preparatory work.

5. To pay for all extra costs for any non-routine therapy deemed necessary for proper breeding management such as swabs, biopsies, surgeries, long-term hormonal therapies, sedation, and any cost incurred to treat and maintain the health of the mare.

6. To pay board for the mare at (a) $15.00 per day, or (b) $18.00 per day if the mare has a foal, or (c) $20.00 per day if the mare requires special care such as daily hand walking, blankets, bandages, individual turn out, or daily grooming. A deposit of $200 is due at the time of the mare's arrival to EEI. If the recipient mare is provided by the mare owner she will pay board from the day of arrival to EEI. If the recipient mare is leased from EEI the mare owner will pay board from the day an embryo is transferred into her.

7. To pay all charges incurred in shipment of semen, and the return of semen shipping containers.

8. To pay for the storage of any frozen embryos until transferred at $50 per year per embryo. Embryos and semen are stored at the owner's risk. Insurance of a frozen embryo or stallion semen are the responsibility of the mare owner.

9. While the mare is under the management of EEI, the mare owner agrees to pay for any vaccinations, deworming, hoof trimming or shoeing.

10. The mare owner hereby releases and shall indemnify and hold EEI harmless from any claim of disease, injury or death to the mare, her foal, or the in utero foal arising from any undertaking by EEI under the terms of this provision.

11. The mare owner is responsible for any insurance desired on the mare, foal, in-utero foal, and stallion semen stored.

12. EEI is responsible for monitoring the mare and her reproductive cycle in order to attempt breeding the mare at the best time possible to maximize the odds of conception. The mare owner is aware that in occasions some mares will ovulate unexpectedly and an ovulation can be missed. EEI shall not be held liable for missing an ovulation and / or not breeding the mare on one particular cycle. In addition, a mare can fail to ovulate on time after being inseminated, and a new insemination in the same cycle might be necessary. EEI shall not be held liable for the costs of extra semen needed on mares that have delayed ovulations.

13. All accounts are payable within 30 days. After 30 days from billing date, a $25 handling fee and interest of 1.5% per month on the outstanding balance will be assessed. The mare owner agrees to pay all costs and reasonable attorney fees incurred by EEI in attempting to collect any outstanding balance. This contract is not transferrable. If the mare is sold, all unpaid fees become immediately due and payable and no refunds will be made. This agreement is subject to Canadian law and the laws of the province of Ontario. The venue for any disputes arising from this agreement will be in the City of Kitchener, Ontario.

14. There is no guaranty of pregnancy.

15. The mare owner is responsible for any insurance desired on the Donor mare and / or pregnant recipient and / or in-utero foal.

16. The mare owner is responsible for parentage testing, Breed registry rules and regulations.
